Terms & Conditions

Last updated October 24, 2026

These Terms & Conditions (the "Terms") are a legal agreement between you and SaleMag, Level#3, House#1168, Road#10, Avenue#10, Mirpur DOHS, Dhaka-1216, Bangladesh ("SaleMag", "we", "us" or "our"). They govern your use of our website at salemag.net, the SaleMag dashboard and apps, and the related services we provide (together, the "Service").

Please read them carefully. By creating an account, starting a trial or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Definitions

  • "Account" means your SaleMag login and the workspace it gives you access to.
  • "Customer Data" means the contacts, messages, orders, files and other content you or your team store in or send through the Service.
  • "Third-Party Platform" means a service we connect to but do not control, such as WhatsApp, Messenger, Instagram, Facebook, Telegram, LinkedIn, TikTok, X, YouTube, Google, Shopify, WooCommerce, BigCommerce, payment gateways, SMS gateways and AI providers.
  • "End User" means a person you communicate with through the Service, such as your customer.

2. Eligibility and your account

  • You must be at least 18 years old and able to form a binding contract. The Service is for business use.
  • If you use the Service on behalf of a company or other organisation, you confirm that you have authority to bind it to these Terms, and "you" means that organisation.
  • Give us accurate information and keep it up to date.
  • Keep your password and API keys secure. You are responsible for all activity under your Account, including messages sent by your team, AI agents and automations you set up. Tell us immediately at [email protected] if you suspect unauthorised access.
  • You are responsible for the team members you invite and the permissions you give them.

3. The Service

SaleMag helps businesses manage customer conversations, sales and marketing in one place — including a shared inbox for WhatsApp, Messenger, Instagram and other channels, broadcasts, AI agents and AI replies, e-commerce orders, CRM and social media publishing. Features and limits depend on your plan.

We improve the Service all the time, so features may be added, changed or removed. If we remove a major feature you pay for, we will tell you in advance where we reasonably can.

4. Free trials and plans

  • We may offer a free trial. The length and limits are shown when you sign up. At the end of the trial you need to choose a paid plan to keep using paid features.
  • Each plan has usage limits, such as the number of contacts, team members, connected channels, messages or AI credits. If you exceed them, we may ask you to upgrade or limit further usage until the next period.
  • You can upgrade, downgrade or cancel your plan at any time from your billing settings. A downgrade can remove features or data that the lower plan does not include, so export anything you need first.

5. Fees, billing and refunds

  • Payment. Paid plans are billed in advance for each billing period (for example monthly or yearly) through our payment provider. You authorise us to charge your chosen payment method.
  • Auto-renewal. Subscriptions renew automatically at the end of each period until you cancel. Cancelling stops the next renewal; you keep access until the end of the period you have paid for.
  • Price changes. We may change our prices. We will tell you at least 14 days before a new price applies to your next renewal, and you can cancel before then.
  • Taxes. Prices do not include taxes such as VAT unless stated. You are responsible for applicable taxes.
  • Third-party fees. Some platforms charge their own fees — for example Meta's per-conversation or per-message fees for the WhatsApp Business Platform, SMS gateway charges, or AI usage. These are separate from our plan price unless your plan says otherwise.
  • Late payment. If a payment fails, we will try again and notify you. If it is still unpaid, we may suspend paid features until the balance is settled.
  • Refunds. Refunds are covered by our Refund Policy. Except as stated there or required by law, fees are non-refundable.

6. Acceptable use

You must use the Service lawfully and responsibly. You must not, and must not let anyone else:

  • send spam, or messages to people who have not agreed to hear from you;
  • send content that is illegal, fraudulent, deceptive, defamatory, hateful, harassing, sexually explicit, or that promotes violence;
  • sell or promote goods and services that the law or the relevant platform prohibits, such as illegal drugs, weapons, counterfeit goods, gambling or adult content;
  • impersonate any person or business, or misrepresent who you are;
  • collect or process personal data without a lawful basis, or use the Service to stalk or track people;
  • infringe anyone's intellectual property, privacy or other rights;
  • upload malware, or try to break, probe, overload or bypass the security or limits of the Service;
  • scrape, copy, resell or reverse-engineer the Service, except as the law expressly allows;
  • use the Service to build a competing product.

We may remove content or suspend an Account that breaks these rules. See Suspension and termination.

7. Messaging rules

Messaging channels have strict rules, and breaking them can get your number or page blocked by the platform. When you send messages through SaleMag, you must:

  • Get consent. Only message people who have given you their number or contacted you, and who have agreed to receive messages from you on that channel.
  • Honour opt-outs. Stop messaging anyone who asks you to, promptly.
  • Follow platform policies, including the WhatsApp Business Messaging Policy, WhatsApp Commerce Policy, Meta's Platform Terms and Community Standards, and the messaging-window and template rules of each channel.
  • Follow the law on marketing messages, SMS and data protection in the countries where you and your End Users are, including the rules of the telecom regulator.
  • Identify yourself clearly in your messages and business profile.

You are solely responsible for the content of your messages and for your compliance with these rules. Platforms decide on their own whether to approve templates, rate-limit, restrict or ban an account, and we cannot reverse their decisions.

8. Third-party platforms

  • The Service connects to Third-Party Platforms that we do not own or control. Your use of each one is also governed by its own terms and privacy policy, which you are responsible for accepting and following.
  • Third-Party Platforms may change, limit or stop their services or APIs at any time. When that happens, the related SaleMag features may stop working, and we are not responsible for it.
  • Unofficial connections. Some features, such as connecting WhatsApp by scanning a QR code (WhatsApp Web), do not use an official business API. The platform may restrict or ban numbers connected this way. You use these features at your own risk. For business-critical messaging we recommend the official WhatsApp Business Platform.
  • We are not liable for any act, omission, outage or data handling by a Third-Party Platform.

9. AI features

  • AI features, such as auto-replies, AI agents, order extraction and content suggestions, generate output automatically. That output may be inaccurate, incomplete or inappropriate.
  • You are responsible for reviewing how your AI features are set up, the knowledge you give them, and what they send to your End Users. Do not rely on AI output for legal, medical, financial or other professional advice.
  • Where the law requires it, tell your End Users when they are talking to an automated assistant.
  • Do not use AI features to generate content that breaks Acceptable use or the usage policies of the AI provider.

10. Your content and data

  • You own your Customer Data. We claim no ownership over it.
  • You give us a limited, worldwide licence to host, copy, transmit, process and display Customer Data only as needed to provide, secure and support the Service, and as you instruct us — for example, to send a message or publish a post.
  • You confirm that you have all rights, consents and notices needed for us to process Customer Data, including personal data of your End Users.
  • We process personal data in Customer Data as your processor, as described in our Privacy Policy. We keep it confidential and do not sell it.
  • You can export your data at any time from Settings → Data export. You are responsible for keeping your own backups of anything critical.

11. Our intellectual property

The Service, including its software, design, logos and documentation, belongs to SaleMag and its licensors and is protected by intellectual property laws. Subject to these Terms and payment of applicable fees, we give you a limited, non-exclusive, non-transferable right to use the Service for your business during your subscription. All rights not expressly granted are reserved.

If you send us ideas or feedback, we may use them freely without any obligation to you.

12. Availability and support

We work to keep the Service available and secure around the clock, but we do not guarantee that it will be uninterrupted or error-free. We may carry out maintenance, which we try to schedule at quiet times and announce in advance when it is likely to cause noticeable downtime. Support is available through the dashboard, email and the channels listed on our website. Response times may depend on your plan.

13. Suspension and termination

  • By you. You can cancel your subscription or delete your Account at any time from your dashboard.
  • By us. We may suspend or close your Account, with notice where reasonable, if you materially breach these Terms, fail to pay, create a risk for SaleMag, our users or our providers (for example, if a platform flags your Account for spam), or if the law requires it. Where the problem can be fixed, we will tell you why and give you a chance to fix it.
  • After termination, your right to use the Service ends. We will give you at least 30 days to export your data, unless we closed the Account for a serious breach or the law prevents it. After that, we delete Customer Data as described in our Privacy Policy.
  • Sections that by their nature should continue — such as fees owed, disclaimers, limitation of liability, indemnity and governing law — survive termination.

14. Disclaimers

To the maximum extent the law allows, the Service is provided "as is" and "as available". We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will meet your needs or achieve particular business results. Nothing in these Terms limits any rights you have under consumer protection law that cannot be excluded.

15. Limitation of liability

To the maximum extent the law allows:

  • SaleMag is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, sales, data or goodwill, even if we were told they were possible.
  • SaleMag is not liable for losses caused by Third-Party Platforms, including a platform restricting or banning your number, page or account.
  • Our total liability for all claims relating to the Service is limited to the amount you paid us in the 12 months before the event that gave rise to the claim.

These limits do not apply to liability that cannot be limited by law, such as liability for fraud.

16. Indemnity

You agree to defend and compensate SaleMag, its staff and partners against any claims, losses, fines and costs (including reasonable legal fees) arising from your Customer Data, your messages, your breach of these Terms or of a Third-Party Platform's policies, or your breach of any law or of anyone else's rights.

17. Governing law and disputes

These Terms are governed by the laws of Bangladesh. If a dispute arises, please contact us first at [email protected] — we will try to resolve it informally within 30 days. If we cannot, the courts of Dhaka, Bangladesh have exclusive jurisdiction, unless the law of your country gives you the right to bring a claim in your local courts.

18. Changes to these Terms

We may update these Terms from time to time. The date at the top shows when they were last updated. If we make a material change, we will tell you by email or in the dashboard at least 14 days before it takes effect. If you continue to use the Service after the change takes effect, you accept the new Terms. If you do not agree, you can cancel before then.

19. General

  • Entire agreement. These Terms, the Privacy Policy, the Refund Policy and any order form or plan description form the whole agreement between you and SaleMag about the Service.
  • Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, power or internet outages, platform outages, government action or civil unrest.
  • Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
  • No waiver. If we do not enforce a right, we have not given it up.
  • Notices. We send notices to the email address on your Account. You can send notices to [email protected].
  • Language. If these Terms are translated, the English version prevails in case of conflict.
